The program will provide an overview of certain key legal considerations for two types of specialized lease transactions: sale-leasebacks and build-to-suit leases. We will examine the accounting and tax treatment of sale-leaseback transactions, including whether they might be characterized as financing transactions, rather than a true lease. We also will provide practical suggestions for negotiating key terms to protect both landlords and tenants in sale-leasebacks. In addition, we will review the various complex issues that face a landlord and tenant in a build-to-suit transaction, from the project planning phase through financing, construction and completion. The program will examine a number of the practical considerations unique to a build-to-suit transaction that should be addressed by the parties in negotiating the lease.
